Terms of Use

1. Agreement

By creating an account, onboarding an organization, or otherwise using the Service, you represent that you have the legal authority to accept these Terms individually and, where you are acting on behalf of an organization, on that organization's behalf. This agreement becomes binding at that point. If you do not agree, do not use the Service.

2. Description of service

TFL is a cloud platform that connects importers, exporters, and providers across financing, insurance, logistics, foreign exchange, custody, payment, and compliance to structure, screen, coordinate, and settle cross-border trade transactions. The Service includes:

We may modify or expand the Service over time. Where a change materially reduces functionality you rely on, we will provide at least 14 days' advance notice.

4. Account & organization registration

Accuracy. You must provide accurate, current information when registering an account or onboarding an organization, including for KYB and beneficial-ownership purposes, and keep it up to date.

Credential security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Report suspected unauthorized access immediately to security@tradefundlogistics.com. We strongly recommend, and require for TFL platform staff, enabling two-factor authentication.

Organization approval. An organization may not transact on the platform until it has passed the applicable onboarding review, including sanctions and compliance screening. We may decline, suspend, or revoke an organization's approval at our discretion where screening results, regulatory obligations, or a violation of these Terms require it.

5. Fees & settlement

TFL does not charge a per-seat subscription fee. Platform and provider-share fees are calculated against transaction activity under the revenue rules disclosed to you, invoiced to the relevant organization on a periodic billing statement, and settled by bank wire or ACH using the payment instructions each party discloses. Fee rates are set out in your provider or organization agreement and may be updated with notice as described in Section 2. Billing disputes must be raised within 30 days of the relevant statement to billing@tradefundlogistics.com.

You agree to use the Service only for lawful, legitimate trade activity. You will not:

We may suspend or terminate access immediately, without refund, for a violation of this section.

7. Compliance obligations

Screening performed on the platform supports, but does not replace, your own compliance obligations. You remain responsible for your organization's own regulatory compliance, including sanctions, export control, and anti-money-laundering obligations applicable to your business and jurisdiction. Nothing on the platform — including a "cleared" compliance case or a risk score — constitutes legal or compliance advice, and TFL's screening is not a substitute for your own compliance program.

8. Data ownership

You and your organization retain ownership of the business data you submit to TFL — transaction details, documents, counterparty information, and the like. We claim no ownership over it, process it solely to provide the Service, and do not sell it or use it beyond what this Terms of Use and our Privacy Policy describe. You may request an export of your organization's data at any time, subject to the retention obligations described in our Privacy Policy for compliance-relevant records.

9. API access

Programmatic access via API keys is governed by these Terms and our published API documentation. API keys must be protected like a password and never exposed publicly. We enforce rate limits to preserve platform stability and reserve the right to throttle or suspend usage that disrupts the Service for others. Webhook delivery is provided on a best-effort, retried basis; build your own retry handling for anything critical.

10. Availability & support

We aim for high availability and will provide advance notice of planned maintenance where practical. No specific uptime commitment is made under these Terms absent a separate written agreement. Support requests can be sent to support@tradefundlogistics.com; security-critical issues should be marked urgent and sent to security@tradefundlogistics.com.

11. Confidentiality

Each party will keep the other's confidential information — including business and transaction data and proprietary platform technology — confidential, and will not disclose it to third parties except as permitted under these Terms, our Privacy Policy, or as required by law. This obligation survives three years beyond termination of your account.

12. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT A COMPLIANCE SCREENING RESULT OR RISK SCORE IS ACCURATE OR COMPLETE FOR YOUR PURPOSES. Nothing in this section limits any consumer protection right that cannot lawfully be waived.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TFL'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO TFL IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. TFL IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DEALS, EVEN IF ADVISED OF THE POSSIBILITY. This limitation does not apply to a party's indemnification obligations, confidentiality breach, or liability that cannot lawfully be limited.

14. Indemnification

You agree to indemnify, defend, and hold TFL and its officers, employees, and agents harmless from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of a third party's rights, including in connection with a transaction you enter into with a counterparty or provider matched through the platform.

15. Termination

By you. You may close your account at any time through account settings, or by contacting us.

By TFL. We may suspend or terminate access immediately for a material breach of these Terms, suspected fraud, or a legal or regulatory requirement to do so. Where none of those apply, we will provide at least 14 days' notice before termination.

Effect of termination. Your right to access the Service ends on termination. Data retention following termination is governed by our Privacy Policy. Sections 3, 7, 8, 11, 12, 13, 14, and 16 survive termination.

16. Governing law

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws principles, and you consent to the exclusive jurisdiction of the state and federal courts located in Thurston County, Washington for any dispute arising from these Terms or the Service. If a provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
